Hello, my name is Mark Tanner. I am going to tourney with a law firm in Northampton, Massachusetts. Today, I'd like to speak to you a little bit about your obligations when you form a corporation or a limited liability company here in Massachusetts. Frequently, people come to see me who've been sued or otherwise involved in legal proceedings, and they thought they had the benefit of a corporation or a limited liability company to protect their individual assets. Unfortunately, what many people don't realize is that after you form your corporation or your limited liability company, you have certain obligations with regard to the state that you must fulfill on an annual basis. Generally speaking, this involves making an annual filing and paying an additional fee to the state each year. If you fail to fulfill these obligations, you may, in fact, lose the protection that you thought you had from your corporation or your limited liability company.
